General sales conditions of Daylight bv
Article 1: Object and scope
These "General Conditions" apply to all sales, rental and installation contracts relating to the products and services of Daylight bv (hereinafter "Daylight"), founded in 1991, with registered office at Brusselsesteenweg 715, 9050 Gentbrugge, Belgium (VAT BE 0443.834.881, RPR Gent), between Daylight and its customers. These conditions take precedence over all conflicting conditions of the customer. Additional conditions of the customer that are not expressly accepted in writing by Daylight are hereby excluded. These conditions are drawn up for commercial dealings between undertakings (B2B) in accordance with the definition of "undertaking" in art. I.1, 1° WER. Daylight does not sell to consumers within the meaning of art. I.8.39° WER.
Article 2: Orders — delays — impediments
A contract is validly concluded when the customer signs the order form. The delivery times stated by Daylight are purely indicative and do not create any obligation of result on the part of Daylight. Late deliveries in no case give rise to the right to cancel the order or to compensation, unless expressly agreed otherwise in writing. If Daylight, as a result of any cause beyond its control, is definitively unable to perform an accepted order, it may dissolve the contract by means of a simple notice to the customer, without this giving rise to any compensation, except in the event of intent or gross negligence on the part of Daylight (art. BW 5.89). Any compensation can never exceed the agreed price.
Article 3: Deliveries — transfer of risk
The products are deemed to have been delivered as soon as they are made available to the customer for collection at Daylight's premises. If Daylight is responsible for delivery to the customer, the delivery takes effect from the moment the products are located within the enclosed area, on the grounds or in the buildings of the customer, whether or not they have been unloaded. From that moment, the risk for the goods is transferred to the customer.
Article 4: Installation — construction — programming
If it has been agreed that Daylight is responsible for on-site installation, the customer is obliged to provide Daylight with all assembly and disassembly data, as well as all programming and location data, in writing and dated, no later than fourteen days before the installation date.
If Daylight is not expressly tasked with the necessary construction, the customer must ensure that this construction is sound and safe and at least able to withstand wind speeds of 120 km per hour. If this construction proves not to be sound or safe, the customer will nevertheless be obliged to pay 50% of the price in the case of rental, and the full price in the case of sale.
If Daylight itself installs the constructions (scaffolding, trusses, poles), it is prohibited to attach anything to these constructions without prior written permission, as this may affect the wind load and safety. If the customer wishes to do so, Daylight must be informed in writing in advance so that extra concrete can be placed or a larger footprint provided.
The customer will ensure that the location is provided with a legally inspected electrical installation of 1 × 16A / 230V plus proper earthing per LED display. The customer will also provide a safe, dry and nearby storage space for placing the controls of the products, and a safe parking area for all Daylight vehicles. Four members of Daylight's technical staff must be given the opportunity to go anywhere their function requires.
Any taxes and levies are borne by the customer, who must also obtain the necessary permits. Daylight is never liable for the customer's failure to comply in this respect.
Article 5: Visible defects — non-conformity
If the delivery shows visible defects or does not conform to the accepted order, the customer must have this recorded at the time of delivery. Within 24 hours of delivery, the customer must notify Daylight in writing of the defects or the non-conformity. After this period, the goods are deemed to have been definitively accepted by the customer. Under no circumstances may goods be returned to Daylight without its prior written permission.
Article 6: Payments
An agreed deposit must be paid with every order. The balance must be paid on delivery, regardless of the due date of the invoice. Exceptionally, and only if expressly stipulated in writing, the invoice will be payable within 30 days. Any amount remaining unpaid on the due date will be increased, without prior notice of default, by a fixed compensation of 10%, with a minimum of € 200 per invoice that was not paid in full. In addition, any amount remaining unpaid, without prior notice of default, from the day on which payment was due until the day of actual payment, will be increased by default interest of 1% per month.
Article 7: Cancellation and retention of title
If the customer cancels rental or installation orders, the customer must pay compensation equal to 30% of the price. If cancellation takes place less than 30 days before the scheduled delivery date, the compensation is 50%. In the event of cancellation on the delivery day itself, the customer is obliged to pay the full price. A sale cannot be canceled; however, Daylight has the choice either to demand performance of the contract in court or to declare the contract dissolved at the customer's expense. In the latter case, the compensation is 50% of the price.
The delivered products remain the property of Daylight until the purchase price has been paid in full. Until then, the customer is not entitled to transfer the products to third parties. This retention of title does not affect the transfer of risk as set out in Article 3.
Article 8: Warranty
Starting point and duration
For all products sold by Daylight bv, a carry-in warranty of 1 year is provided by Daylight bv, counting from the invoice date. The additional manufacturer's warranty is provided by the manufacturer of the purchased devices; the duration depends on the manufacturer and the product.
Masterclock provides a limited carry-in warranty of 5 years on all LED clocks and time servers sold by Daylight bv. This covers only the spare parts and not the labor hours. Transport costs are never covered, as it is a carry-in warranty.
Adaptive Micro Systems provides a limited carry-in warranty of 5 years on all LED displays sold by Daylight bv. This covers only the spare parts and not the labor hours. Transport costs are not covered. A warranty of 1 year is given on all accessories and spare parts.
All other products are covered by the manufacturer's standard warranty; the duration depends on the manufacturer and the product. If a manufacturer defaults, Daylight bv itself provides a 1-year carry-in warranty. Daylight is never responsible for manufacturers' warranties or for warranties longer than 1 year.
Commencement of the warranty
The warranty period begins on the invoice date. The warranty is transferred automatically and free of charge to any subsequent owners if the original owner notifies Daylight of the sale and provides the details of the new owner. If this does not happen, the warranty is reduced to 6 months from the original first purchase. If the customer has no invoice, the serial number and the "Date of Manufacturing" stated on the product apply.
Description of the warranty
The Daylight warranty covers any defect attributable to a production or assembly fault under normal use. Within the 1-year warranty period, Daylight carries out all repairs completely free of charge; both parts and labor hours are free. Transport costs are never covered. The warranty applies only if the products have been maintained in the normal way; the costs of normal maintenance always remain the responsibility of the customer or the user.
The additional 5-year manufacturer's warranty from Adaptive Micro Systems on LED displays covers the electronic and mechanical components of all Daylight LED displays. The warranty also includes replacing non-functioning LEDs if more than 1% of the LEDs of an LED display no longer function. The manufacturer defines "non-functioning" as the LEDs no longer emitting light; LEDs may dim to a point where they need to be replaced, even though they still emit light. This warranty does not cover the dimming of the LEDs. This offer applies to the entire Daylight LED display range, but not to accessories, software and add-ons. The 5-year warranty is only valid on new LED displays purchased from Daylight bv or its dealers. If Daylight nevertheless has to come on site for LED displays, travel or call-out charges will be applied. If an aerial work platform or crane is required to carry out the repair, this must be provided at the customer's expense; this is not covered by the warranty.
The additional 5-year manufacturer's warranty from Masterclock on LED clocks and time servers covers the electronic and mechanical components of all LED clocks and time servers. This applies to the entire Masterclock range, but not to accessories, software and add-ons. The 5-year warranty is only valid on new LED clocks and time servers purchased from Daylight bv or its dealers. If Daylight nevertheless has to come on site for Masterclock products, travel or call-out charges will be applied.
For all other products, the manufacturer's warranty conditions apply.
Article 9: Complaints and disputes
Complaints about visible defects must be reported in writing within 8 days of delivery; hidden defects within 2 months of discovery and at the latest within 1 year of delivery. Any notice of default must be addressed in writing by registered letter or proven electronic communication to Daylight bv, Brusselsesteenweg 715, 9050 Gentbrugge.
Article 10: Applicable law and competent court
This contract is governed exclusively by Belgian law. In the event of a dispute, only the courts of the judicial district of East Flanders, Ghent division, have jurisdiction.
